1. Acceptance of terms

These Terms of Use ("Terms") govern your access to and use of the Topa bill payment platform ("Topa", "the Service") operated by ClicknShare Ltd, a company registered in England and Wales (Company No. 16166273), with its registered office at 9 Journey Campus, Castle Park, Cambridge CB3 0AX ("ClicknShare", "we", "us", "our").

2. About Topa

Topa is a digital bill payment platform that enables users to pay essential bills — including utilities, education fees, and other services — on behalf of family members and others, including internationally. The Service is provided subject to applicable financial regulations and the terms set out herein.

ClicknShare operates Topa as a technology platform. Payment processing and money transmission services are provided by regulated third-party partners. ClicknShare is not itself a regulated payment institution but works exclusively with FCA-authorised or equivalent partners for the execution of payments.

3. Eligibility

By using the Service, you represent and warrant that you meet all eligibility requirements.

4. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must:

We reserve the right to suspend or terminate accounts where we suspect fraudulent activity, breach of these Terms, or where required by law.

5. Payments and transactions

When you initiate a payment through Topa:

We are not responsible for delays or failures caused by third-party bill providers, banking partners, or circumstances beyond our reasonable control.

Refunds and cancellations

Once a payment has been submitted for processing, it may not be possible to cancel or reverse it. If you believe a payment has been made in error, contact us immediately at [email protected]. Refund eligibility is assessed on a case-by-case basis in accordance with applicable regulations.

6. Fees

Applicable fees for using the Service are displayed clearly before you confirm any transaction. By confirming a transaction, you agree to pay the stated fees. We reserve the right to change our fee structure with reasonable notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.

7. Prohibited use

You must not use Topa to:

Breach of this section may result in immediate account suspension, reporting to relevant authorities, and legal action.

8. Intellectual property

All intellectual property rights in the Topa platform, including its design, software, trademarks, and content, are owned by or licensed to ClicknShare Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You must not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

9. Limitation of liability

To the fullest extent permitted by law:

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

10. Indemnity

11. Termination

You may close your account at any time by contacting us at [email protected]. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms, for regulatory compliance reasons, or if we discontinue the Service. Termination does not affect any rights or obligations that arose prior to termination.

12. Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws in your country of residence provide otherwise.
